If you do not agree with these Terms, you should not use the Platforms.
3.1 Needtoday may, at its sole discretion, modify, update or replace these Terms at any time without prior individual notice.
3.2 The latest version of the Terms will be made available on the Platforms. Your continued use of any Platform after changes are posted will be deemed as your acceptance of the revised Terms.
3.3 We may add, modify, suspend, or discontinue any part of the Platforms or any service or feature at any time without liability.

6.1 Please do not send Needtoday any confidential, proprietary, or sensitive information through the Platforms, except as required for using the services or as outlined in our Privacy Policy.
6.2 Except for personal data that is governed by our Privacy Policy, any material or information you submit (including questions, comments, feedback, suggestions, ideas, or other communications) will be treated as non-confidential and non-proprietary.
6.3 Needtoday is free to use, reproduce, modify, adapt, publish, translate, distribute, and display such material in any form and through any medium for any lawful purpose, including development or improvement of products and services, without any obligation to compensate you.
7.1 Needtoday may allow users to submit reviews, ratings, comments, feedback, and other content through the Platforms (collectively, “Communications”).
7.2 You are solely responsible for all Communications that you upload, post, transmit, or otherwise make available through any Platform, including via SMS, email, web, app or any other channel.
7.3 Needtoday does not endorse, verify, or guarantee the accuracy, completeness, or usefulness of any user-generated Communications, and such Communications do not represent Needtoday’s views or opinions.
7.4 By posting or submitting Communications on or through the Platforms, you grant Needtoday a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license, with the right to sublicense, to:

9.2 While Needtoday makes reasonable efforts to display accurate and current content, we do not control third-party content and do not guarantee its accuracy, completeness, authenticity, quality, legality, or integrity.
9.3 The Platforms may contain typographical, technical, or other errors. Needtoday does not warrant that such errors will be corrected or that the information will always be up to date.
9.4 All data regarding products, services, offers, prices, timings, and availability is subject to change by the respective providers without notice. You should independently verify any information that is important for you before relying on it.
9.5 Users are allowed to read, print, or download limited portions of the Platforms for personal, non-commercial use. Any unauthorized reproduction, distribution, modification, transmission, or other misuse of the Platforms or their content is strictly prohibited and may result in legal action.
9.6 Sections of the Platforms that invite public participation (e.g., comments, forums, reviews) may contain opinions, advice, statements, or information from members of the public. Needtoday does not endorse and is not responsible for such content.

11.1 The label “Needtoday Verified” indicates that certain basic details of a business (such as name, address, and contact information) have been verified by Needtoday as existing at the time of registration, based on documents and/or information submitted by the advertiser.
11.2 The label “Needtoday Stamp” suggests that the identity and key details of vendors or service providers (such as name, address, contact details, and business name) have been reviewed on a best-effort basis, taking into account available documents, information, and, where relevant, user ratings or reviews.
11.3 These labels are not guarantees of quality, reliability, suitability, or continued existence of any advertiser or their services/products.
11.4 Needtoday strongly advises users to independently verify all relevant details and exercise their own judgment before engaging with any vendor or service provider.
12.1 Any provider of goods or services can apply to be listed on the Platforms. Needtoday does not undertake a detailed audit of their background, quality standards, business practices, or suitability.
12.2 Needtoday does not negotiate or finalize commercial terms on behalf of users or advertisers. The terms of purchase or service must be discussed and agreed directly between you and the advertiser.
12.3 All information provided or received from advertisers is taken in good faith. Needtoday does not confirm or guarantee the accuracy or completeness of such representations or claims.
12.4 Needtoday will not be responsible or liable for any act, omission, default, service deficiency, or breach by any advertiser listed on the Platforms.
12.5 Any transaction (including monetary and non-monetary transactions) that you enter into with an advertiser is solely at your own risk.
13.1 Your use of the Platforms and Materials is at your sole risk.
13.2 The Platforms and all Materials and services made available through them are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or compatibility.
13.3 Without limiting the foregoing, Needtoday does not warrant that:

14.1 To the fullest extent permitted by law, in no event shall Needtoday be liable for any indirect, incidental, punitive, special, exemplary, or consequential damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with:

15.1 Needtoday may, but is not obligated to, periodically monitor content transmitted to or displayed on the Platforms to:

15.3 Needtoday may also delete materials at the request of the user who originally submitted them or at the request of an advertiser opting out of certain content (e.g., third-party ratings or reviews).

16.1 You agree to indemnify, defend, and hold harmless Needtoday, its parent company, subsidiaries, affiliates, directors, officers, employees, and agents from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with:

18.1 Needtoday shall not be liable for any delay or failure in performance (including service interruptions) resulting from circumstances beyond its reasonable control, including but not limited to:
18.2 Your obligations to pay any applicable fees or charges shall not be excused due to a force majeure event.
19.1 Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platforms shall be referred to and finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996.
19.2 Unless the parties mutually agree to appoint a sole arbitrator, the arbitral tribunal shall consist of three arbitrators:
19.3 The seat and venue of arbitration shall be Bengaluru, India.
19.4 The arbitration proceedings shall be conducted in the English language.
19.5 The arbitral award shall be final and binding on the parties, subject to applicable law.
20.1 These Terms shall be governed by and construed in accordance with the laws of India, without reference to its conflict of law principles.
20.2 Subject to the arbitration clause above, the courts at Bengaluru, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.
21.1 These Terms, together with any policies referenced herein (including the Privacy Policy), constitute the entire agreement between you and Needtoday regarding the subject matter and supersede any prior or contemporaneous written or oral agreements.
21.2 If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
21.3 No modification or waiver of any provision of these Terms shall be effective unless it is in writing and signed or expressly accepted by Needtoday, except where Needtoday posts updated Terms on the Platforms as described above.
